Application Hosting Terms and Conditions

1. Introduction

These terms and conditions (“Terms”) govern the hosting services provided by the Host to the client, hereinafter referred to as the “Customer.” These services include the hosting of ASP.NET applications on AWS, databases on Digital Ocean, and React applications on Vercel.

2. Hosting Services

2.1 Scope of Hosting: The Host will provide hosting services for ASP.NET applications on AWS, databases on Digital Ocean, and React applications on Vercel.

2.2 Yearly Fee: The Customer agrees to pay an annual hosting fee for the services. This fee covers hosting only and does not include any development work or additional charges.

2.3 Payment Terms: The hosting fee is payable in advance annually. The Host will provide the Customer with an invoice, and payment is due within 7 days of the invoice date.

3. Hosting Environment

3.1 AWS Hosting: ASP.NET applications will be hosted on Amazon Web Services (AWS). The Customer acknowledges that AWS has its own terms of service, and compliance with AWS terms is the responsibility of the Customer.

3.2 Digital Ocean Hosting: Databases will be hosted on Digital Ocean. The Customer acknowledges that Digital Ocean has its own terms of service, and compliance with Digital Ocean terms is the responsibility of the Customer. The Host will be responsible for managing and maintaining the databases hosted on Digital Ocean. This includes but is not limited to backups, security, and performance optimisation.

3.3 Vercel Hosting: React applications will be hosted on Vercel. The Customer acknowledges that Vercel has its own terms of service, and compliance with Vercel terms is the responsibility of the Customer.

4. Support and Maintenance

4.1 Technical Support: The Host will provide reasonable technical support related to the hosting environment. Support inquiries can be submitted via email at support@developadigital.com.au. The Customer understands that fees may apply to technical support.

4.2 Additional Charges: The Customer understands that additional charges may apply to necessary works required to keep the hosted applications operational. Such works may include, but are not limited to, custom configurations, optimizations, or other services deemed necessary for the proper functioning of the applications. The Host will communicate any additional charges to the Customer before proceeding with such works.

4.3 Updates and Maintenance: The Host reserves the right to perform necessary updates and maintenance on the hosting environment to ensure performance, security, and reliability. The Host will make reasonable efforts to notify the Customer in advance of any planned maintenance that may result in downtime.

5. Customer Responsibilities

5.1 Development Work: The hosting fee does not cover any development work. The Customer is responsible for the development, maintenance, and updates of their applications.

5.2 Application Credentials: The Customer is responsible for managing and securing the login credentials and access details for their hosted applications. The Host will not be liable for any loss, unauthorized access, or security breaches caused by insecure application credentials.

6. Termination

6.1 Termination by Customer: The Customer may terminate this Agreement by providing 30 days’ written notice to the Host.

6.2 Termination by Host: The Host reserves the right to terminate this Agreement immediately if the Customer breaches any terms outlined herein.

6.3 Refunds: In the event of termination, whether initiated by the Customer or the Host, no pro rata refunds will be provided. The Customer acknowledges and agrees that the hosting fee is non-refundable for the entire billing period, and no reimbursement will be issued for any unused portion of the hosting services.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia.
